We are currently seeking a JV & Partnership Principal for our client — one of the largest developers and manufacturers of UAVs for Ukraine’s defense needs.

The team is focused on continuously enhancing UAV performance, applying cutting-edge approaches and technologies. With in-house production facilities, they can swiftly implement changes and innovations.

As a JV & Partnership Principal, you will lead the development and execution of the company’s joint venture, M&A, and strategic partnership initiatives. This role will take full ownership of transactions from origination to execution, including negotiation, financial analysis, and stakeholder management.

Required Skills & Experience
:

  • 6–10 years of relevant experience in M&A, corporate finance, investment banking, management consulting, or corporate development.
  • Strong track record of executing M&A transactions and managing deal processes end-to-end.
  • Deep expertise in financial modeling, valuation, due diligence, and deal structuring.
  • Experience preparing and negotiating transaction documentation (IM, Term Sheets, MoUs, definitive agreements).
  • Strong leadership skills with prior experience managing junior team members.
  • Excellent stakeholder management and communication skills, with the ability to influence at senior levels.
  • Ability to manage multiple projects simultaneously, with strong attention to detail and deadlines.
  • Bachelor’s degree in Finance, Economics, Business, or related field (MBA or equivalent preferred).

    Key Responsibilities:

    • Partnership Development
      -
      Drive the formulation of M&A, partnership, and market entry strategies aligned with corporate growth objectives.
      - Identify, evaluate, and prioritize potential JV and investment opportunities.
    • Transaction Leadership
      -
      Take end-to-end ownership of M&A and partnership processes, from opportunity screening to execution.
      - Lead the preparation of key transaction documents, including Information Memoranda, Term Sheets, MoUs, and definitive agreements.
      - Develop and execute negotiation strategies for JV and M&A discussions with external stakeholders.
      - Oversee financial modeling, valuation, and due diligence processes to support decision-making.
    • Stakeholder Management
      -
      Manage and influence senior stakeholders across the organization to align on strategic objectives and transaction outcomes.
      - Coordinate with external advisors, legal teams, and business partners to ensure smooth execution.
    • Leadership & Team Management
      -
      Lead, mentor, and manage a team of Associates/Analysts to deliver high-quality transaction execution and analysis.
      - Foster a collaborative, high-performance culture within the team.
    • Investment & Growth Support
      -
      Provide strategic and financial insights to support organic and inorganic growth initiatives.
      - Contribute to market entry and JV structuring strategies that drive long-term value creation.
